These Digital Asset Payment Terms (these "Digital Asset Terms") apply where you elect to pay for tickets using digital assets through the platform operated by Toniq Live Limited ("Toniq") at toniq.events (the "Platform"). They form part of the Terms of Service and supplement the Ticket Purchase Terms and the Refund, Cancellation and Exchange Policy.
If you do not accept these Digital Asset Terms, do not pay in digital assets. Card and local payment methods are available as alternatives.
PAYMENT IN DIGITAL ASSETS CARRIES RISKS THAT DO NOT ARISE WITH CARD OR BANK PAYMENT. THE FOLLOWING ARE THE PRINCIPAL RISKS. THEY ARE NOT EXHAUSTIVE.
2.1 Irreversibility. A digital asset transaction, once confirmed on a blockchain network, is final and cannot be reversed, recalled, cancelled, or charged back by you, by us, by any intermediary, or by any court. There is no equivalent of the chargeback protection available to cardholders.
2.2 Transfers to the wrong destination. If you send funds to an address other than the one generated for your order, on a network other than the one you selected, or in a token other than the one you selected, those funds will in most cases be permanently and irrecoverably lost. We cannot detect, retrieve, credit, or refund such transfers.
2.3 Stablecoins are not deposits. USDT and USDC are issued by private companies. They are not legal tender, are not deposits, are not backed by any government, and are not protected by any deposit insurance or investor compensation scheme in any jurisdiction. Their value depends on the solvency, reserves, and continued operation of the issuer.
2.4 Depeg risk. A stablecoin is designed to maintain a stable value relative to a reference currency but is not guaranteed to do so. A stablecoin may trade below its reference value, temporarily or permanently.
2.5 Network risk. Blockchain networks may experience congestion, elevated fees, delays, reorganisations, forks, or outages. Such conditions may delay or prevent settlement of your payment within the applicable quotation period.
2.6 Wallet and key risk. You are solely responsible for the security of your wallet, private keys, seed phrase, and connected devices. Loss of access to a wallet may prevent you from receiving a refund. We cannot recover keys and have no access to your wallet.
2.7 Regulatory risk. The regulatory treatment of digital assets is developing and differs between jurisdictions. Changes in law may affect the availability of digital asset payment, or may render it unavailable to you.
2.8 Tax. Using a digital asset to pay for goods or services may constitute a taxable disposal in your jurisdiction. You are solely responsible for determining and discharging any resulting tax liability. Toniq does not provide tax advice.
BY PROCEEDING WITH A DIGITAL ASSET PAYMENT, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD THIS SECTION AND ACCEPT THESE RISKS.
Toniq accepts only the following fiat-referenced stablecoins:
No other digital asset is accepted. Transfers of any other asset, including native network tokens, will not be credited to your order and may be permanently lost.

Where a combination is unavailable, it is disabled in the checkout interface and cannot be selected. The token and network you select at checkout determine the address generated for your payment. That address is valid only for that token on that network.
We may add or withdraw support for a token or network at any time. Withdrawal of support does not affect a quotation already issued and within its validity period.
When you select digital asset payment, we generate a quotation specifying the exact quantity of the selected token payable, together with the deposit address and network. The quotation reflects the ticket price, the ticket booking fee of four per cent (4%), applicable taxes, and the digital asset processing fee of three per cent (3%) applied to that total.
A quotation is valid for fifteen (15) minutes from issuance. This period reflects the volatility of the reference rate and the confirmation times of the supported networks.
If payment is not received and confirmed within the validity period, the quotation expires and the checkout offers a new quotation at the rate then applicable. A new quotation generates a new deposit address. Any seat or allocation reservation remains subject to its own separate expiry, as set out in Section 4 of the Ticket Purchase Terms.
You must transfer the exact quantity of tokens stated in the quotation. The consequences of transferring a different amount are set out in Section 6.
Certain wallets and exchanges deduct a withdrawal fee from the amount sent. Where this occurs, the amount received will be less than the amount you instructed, and Section 6.2 applies. You should account for any such deduction when initiating the transfer.
Network transaction fees ("gas") are payable by you to the network and are not received by Toniq. They are additional to the quoted amount.
Selecting the deposit address method displays the token, the network, the exact amount payable, and a unique deposit address, together with a QR code encoding that address. Confirm the transfer using the confirmation control provided.
The deposit address is generated specifically for your order and is valid only for the token and network selected. Do not reuse an address from a previous order. Do not send further funds to an expired address.
Selecting the connected wallet method permits payment directly from a supported wallet application, currently including MetaMask, Rabby, Phantom, and WalletConnect-compatible wallets. Wallets detected as installed are available for selection; others are displayed but disabled.
The transaction you are asked to sign is a standard token transfer to the deposit address for your order. Review the destination address, token, network, and amount in your wallet before signing. Where the network selected in your wallet differs from that required, you will be prompted to switch; the transfer must be executed on the required network.
Funds transferred by you are received into infrastructure operated by our custody provider, Cobo, which holds a Trust or Company Service Provider licence in the Hong Kong SAR. Funds are held by that provider pending settlement to the Organiser in accordance with the Organiser's arrangements.
Toniq does not hold your funds in its own name. Amounts held pending settlement are not deposits, do not bear interest, and are not protected by any deposit insurance or investor compensation scheme.
Your payment is treated as received upon confirmation of settlement on the applicable network. Confirmation is detected by signed webhook notification from our custody provider, with periodic polling as a secondary mechanism. Tickets are issued upon confirmation, and not upon your broadcast of the transaction.
Confirmation times vary by network and by prevailing conditions. Delays in network confirmation are outside our control. Where confirmation is not received within the quotation validity period but funds are subsequently received, Section 6.3 applies.
Where the amount received exceeds the amount quoted, the surplus is returned automatically to the originating address, less a handling fee of USD 1.50. Your order proceeds and tickets are issued normally.
Where the amount received is less than the amount quoted, the order is not completed and no tickets are issued.
Your seat or ticket allocation continues to be held. The checkout displays the amount received, the amount required, and the balance outstanding, together with the same deposit address to which the balance should be sent. You may transfer the balance to that address to complete your order.
Your allocation is not held indefinitely. If the balance is not received within the period stated, the order lapses, the allocation is released, and the amount received is returned to the originating address, less the refund processing fee of 1.60 USDT.
Where funds are received after the quotation has expired, we will attempt to apply them to your order at the amount then payable. Where the allocation is no longer available, or where the amount received is insufficient at the prevailing rate, the funds are returned to the originating address less the refund processing fee.
Funds transferred in an unsupported token, on an unsupported network, or to an address not generated for your order are not credited and are in most cases permanently lost.
Neither Toniq nor its custody provider undertakes to detect, recover, or return such transfers. Where recovery is technically possible, it is at the sole discretion of the custody provider, may take an extended period, and may be subject to a recovery fee deducted from the amount recovered. No liability is accepted for funds transferred contrary to the instructions displayed at checkout.
Refunds of digital asset payments are governed by the Refund, Cancellation and Exchange Policy. The following provisions are specific to digital assets:
(a) Refunds are made in the same token and on the same network as the original payment.
(b) Refunds are made to the originating address. Where you supply an alternative address, it is accepted only from an authenticated session, and you bear sole responsibility for its accuracy. A transfer to an incorrect address cannot be reversed.
(c) Do not pay from an exchange deposit address, a custodial account, or a smart contract that cannot receive incoming transfers. A refund sent to such an address may be permanently lost. Pay only from a wallet you control and which can receive a return transfer.
(d) A refund processing fee of 1.60 USDT is deducted from each refund.
(e) Refunds are made in the nominal token amount, not in a fiat-equivalent amount. Where the value of the token has changed between payment and refund, no adjustment is made and no compensation is payable.
(f) The ticket booking fee and the digital asset processing fee are not refunded, save in the circumstances set out in Section 5.4 of the Refund, Cancellation and Exchange Policy.
By making a digital asset payment you represent and warrant that the funds are lawfully yours, are derived from a lawful source, and are not the proceeds of crime or connected with the financing of terrorism or proliferation.
Digital asset transactions may be screened against sanctions lists and blockchain analytics datasets by us or by our custody provider. Where a transaction or an originating address is identified as being associated with sanctioned parties, illicit activity, or unacceptable risk, the transaction may be rejected, the order cancelled, funds frozen, and the matter reported to the relevant authority. In such circumstances funds may not be returned to you, and we may be prohibited by law from explaining the reason.
You must not use digital asset payment on the Platform to launder the proceeds of crime, to evade sanctions or currency controls, to obscure the origin or destination of funds, or to convert digital assets to any other form of value otherwise than through the bona fide purchase of tickets for your own use or that of your companions.
We may request information concerning your identity, the source of your funds, or the purpose of a transaction where required by law, by a regulator, or by our custody provider. Failure to supply such information may result in the cancellation of an order and the withholding of a refund pending resolution.
Toniq is not a virtual asset service provider, digital asset exchange, custodian, broker, or dealer. Toniq does not exchange digital assets for fiat currency, does not exchange one digital asset for another, does not provide custody or wallet services, and does not provide investment advice or facilitate investment in digital assets.
Toniq accepts stablecoins solely as a means of payment for tickets. Custody is provided by a licensed third-party provider as described in Section 5.3.
Digital asset payment is unavailable to persons located in the jurisdictions listed in the Prohibited and Restricted Jurisdictions Notice.
Without limiting Section 10 of the Terms of Service, and to the maximum extent permitted by law, Toniq shall have no liability for:
(a) loss arising from a transfer to an incorrect address, network, or token; (b) loss arising from your use of a wallet incapable of receiving a return transfer; (c) loss, compromise, or unauthorised use of your private keys, seed phrase, wallet, or device; (d) delay, congestion, failure, fork, reorganisation, or outage of any blockchain network; (e) the failure, insolvency, depeg, or suspension of redemption of any stablecoin issuer; (f) any change in the value of a digital asset between payment and refund; (g) the acts, omissions, or failures of any wallet provider, node operator, bridge, or custody provider; or (h) the freezing, seizure, or blocking of funds pursuant to a legal or regulatory requirement.
Nothing in this Section excludes liability for fraud, for death or personal injury caused by negligence, or for any other liability that cannot lawfully be excluded.
We may amend these Digital Asset Terms from time to time. The version in force when a quotation is issued governs that transaction. Material changes take effect no earlier than fourteen (14) days after publication.
