This Notice sets out the jurisdictional and sanctions-related restrictions applicable to the use of the platform operated by Toniq Live Limited ("Toniq") at toniq.events (the "Platform"). It forms part of the Terms of Service.
Toniq is incorporated in the Hong Kong Special Administrative Region and is subject to the sanctions regimes applicable there, including United Nations Security Council measures implemented under Hong Kong law. Toniq's payment, custody, and banking partners are additionally subject to the sanctions regimes of the United States, the European Union, and the United Kingdom, and impose corresponding obligations on Toniq by contract.
By accessing the Platform or purchasing a ticket, you represent and warrant, on each occasion, that:
(a) you are not located in, ordinarily resident in, organised under the laws of, or accessing the Platform from a Restricted Jurisdiction as defined in Section 3;
(b) you are not a Restricted Person as defined in Section 4;
(c) you are not owned or controlled, directly or indirectly, by a Restricted Person, and are not acting for or on behalf of a Restricted Person;
(d) the funds you use are lawfully yours, derive from a lawful source, and are not the proceeds of crime;
(e) you will not make the Platform, any ticket, or any refund available, directly or indirectly, to a Restricted Person or to a person in a Restricted Jurisdiction; and
(f) your access to and use of the Platform does not cause Toniq or any of its partners to breach any applicable sanction, embargo, or export control.
These representations are given each time you access the Platform, place an order, or request a refund.
The Platform is not available to persons located in, ordinarily resident in, or accessing it from the following jurisdictions:
Additional restrictions may apply to digital asset payment, which is subject to more restrictive requirements imposed by our custody provider and by applicable financial regulation. Digital asset payment may be unavailable in jurisdictions where card payment remains available.
This list is not exhaustive and may change without notice as sanctions regimes evolve. The absence of a jurisdiction from this list does not constitute a representation by Toniq that the Platform may lawfully be used there. You are responsible for determining whether your use of the Platform is lawful in your jurisdiction.
You may not use the Platform if you are:
(a) designated on any sanctions list maintained by the United Nations Security Council, the Hong Kong SAR authorities, the United States Department of the Treasury's Office of Foreign Assets Control (including the Specially Designated Nationals and Blocked Persons List), the European Union, the United Kingdom, or any other applicable authority;
(b) owned or controlled, directly or indirectly, by any such designated person, including where the ownership threshold under the applicable regime is met in aggregate;
(c) a government, agency, or instrumentality of a Restricted Jurisdiction; or
(d) acting for or on behalf of any of the foregoing.
We and our payment and custody providers may screen transactions, wallet addresses, email addresses, IP addresses, names, and other identifiers against sanctions lists, politically-exposed-person datasets, and blockchain analytics datasets. Screening is conducted on an automated basis and may be supplemented by manual review.
Where a transaction, identifier, or wallet address is identified as being associated with a Restricted Person, a Restricted Jurisdiction, illicit activity, or otherwise unacceptable risk, we may, without prior notice and without liability:
(a) decline the transaction; (b) cancel the order and void any ticket issued; (c) suspend or terminate access to the Platform; (d) freeze or block funds in accordance with the instructions of a regulator, custody provider, or payment provider; (e) withhold a refund pending investigation or regulatory direction; and (f) report the matter to the relevant competent authority.
Where funds are frozen or blocked pursuant to a sanctions requirement, they may not be returned to you. Release of such funds requires authorisation from the relevant authority, which Toniq is not able to grant and may not be able to obtain. Toniq accepts no liability for funds frozen or blocked in these circumstances.
We may be prohibited by law from informing you that a transaction has been reported, that funds have been frozen, or of the reason for a decision. Where such a prohibition applies, we will decline to provide an explanation and this is not to be taken as an admission or a denial of any matter.
The Platform may be technically accessible from jurisdictions in which its use is unlawful or restricted. Accessibility does not constitute an offer, solicitation, or representation that the Platform may lawfully be used in any particular jurisdiction.
You are solely responsible for ensuring that your access to and use of the Platform, and your use of digital assets, complies with the law applicable to you. Where use is unlawful in your jurisdiction, you must not use the Platform.
Separately from this Notice, an Organiser may restrict the sale of tickets to purchasers in specified territories, for reasons including licensing, broadcast rights, or venue capacity allocation. Such restrictions are applied at checkout and are independent of the sanctions restrictions described here.
Sanctions regimes change frequently. This Notice may be amended at any time and without prior notice, and any amendment takes effect immediately upon publication. The current version is published on the Platform. Continued use of the Platform following amendment constitutes acceptance.
